MePrice Inc ("MePrice", "we", or "us") maintains this web site for your information, and education. We provide the service to you on this Site subject to the following terms and conditions ("Terms"). We may periodically change the Terms, so please check back from time to time. By using this Site, you agree to these Terms.

1. Copyrights: Except for the content submitted by users (“Member Content”), MePrice and all aspects thereof, including all copyrights, trademarks, and other intellectual property or proprietary rights therein, is owned by MePrice or its licensors. All rights not expressly granted are reserved.

2. Trademarks: The trademarks, service marks, designs, and logos (collectively, the "Trademarks") displayed on this Site and/or on e-mails sent to you are the Trademarks of MePrice and of MePrice’s licensors. Your use of the Trademarks displayed on this Site, except as provided in these Terms, is strictly prohibited.

3. Site Use: You may use material displayed on this Site for noncommercial, personal use only. You may not distribute, modify, transmit, post, or otherwise use the content of this Site and/or content contained in e-mails distributed to you from MePrice for public or commercial purposes without MePrice’s written permission. MePrice reserves the right to refuse service and/or terminate accounts if we believe that your conduct violates these Terms.

4. Member Content: Users who have registered on the Site may share pricing information as well as rate and post comments for pricing information shared on the Site (herein defined as “Member Content”). Users understand that Member Content appearing on the Site or submitted to the Site is the responsibility of the person or entity originating such Member Content, and MePrice disclaims any liability with respect to such Member Content. By submitting Member Content you warrant that: (a) you are the owner of such Content, or have been granted all the rights necessary from the owner thereof to submit such Member Content to the Site and for the use by MePrice as stated herein, and (b) the use of such Member Content by MePrice will not infringe the intellectual property rights of or otherwise violate the rights of any third party.

By submitting Member Content to the Site: (a) you automatically grant to MePrice (or warrant that the owner thereof has granted to MePrice), a nonexclusive, royalty-free license to use, modify, copy, distribute, transmit, publicly display, publicly perform, publish, adapt, create derivative works of, transfer or sell any such Member Content, for any purpose whatsoever, including, without limitation, a commercial purpose, You understand that MePrice will have the right (but under no circumstances any obligation) to screen, edit, refuse to post or remove any Member Content, in whole or in part, from any portion of the Site, in its sole discretion, including, but not limited to, Member Content that violates these Terms or is otherwise objectionable. MePrice reserves the right to disclose any Member Content as necessary to satisfy any applicable law, regulation, legal process or governmental request. You shall be solely liable for any damages resulting from any infringement of copyright, trademark, or other proprietary right or any other harm resulting from your use of the Site.

MePrice has no editorial control on Member Content. Any opinions, advice, statements, services, offers, or other information or content expressed or made available by such third parties, including users, are those of the respective author(s) or distributor(s) and not of MePrice. MePrice neither endorses nor is responsible for the accuracy or reliability of any unedited opinion, advice, information, or statement made on this Site by anyone. YOU UNDERSTAND AND ACKNOWLEDGE THAT MEPRICE DOES NOT MONITOR MEMBER CONTENT FOR ACCURACY OR RELIABILITY.

5. Venue Only: If you enter into correspondence or engage in commercial transactions with third parties in connection with your use of MePrice, such activity is solely between you and the applicable third party. MePrice shall have no liability, obligation or responsibility for any such activity. You hereby release MePrice from all claims arising from such activity.

6. Conduct: You agree not to post, email, or otherwise make available Member Content:

a) that is unlawful, harmful, threatening, abusive, harassing, defamatory, libelous, invasive of another's privacy, or is harmful to minors in any way

b) that harasses, degrades, intimidates or is hateful toward an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability

c) that impersonates any person or entity, including, but not limited to, a MePrice employee, or falsely states or otherwise misrepresents your affiliation with a person or entity (this provision does not apply to messages that are lawful non-deceptive parodies of public figures)

d) that includes personal or identifying information about another person without that person's explicit consent

f) that is false, deceptive, misleading, deceitful, misinformative, or constitutes "bait and switch"

g) that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, or Content that you do not have a right to make available under any law or under contractual or fiduciary relationships

h) that constitutes or contains "affiliate marketing," "link referral code," "junk mail," "spam," "chain letters," "pyramid schemes," or unsolicited commercial advertisement

i) that constitutes or contains any form of advertising or solicitation if: posted in areas of the MePrice sites which are not designated for such purposes

j) that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment

k) that disrupts the normal flow of dialogue with an excessive number of messages (flooding attack) to the Service, or that otherwise negatively affects other users' ability to use the Service

l) that employs misleading email addresses, or forged headers or otherwise manipulated identifiers in order to disguise the origin of Content transmitted through the Service.

7. LIMITATIONS ON LIABILITY: YOUR USE OF THIS SITE IS AT YOUR OWN RISK. ALL INFORMATION ON THE SITE AND/OR INCLUDED IN E-MAILS DISTRIBUTED TO YOU BY MEPRICE IS PROVIDED TO YOU "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OF NON-INFRINGEMENT OR ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL MEPRICE BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SITE.

8. INDEMNITY: You agree to indemnify and hold MePrice, its officers, subsidiaries, affiliates, successors, assigns, directors, officers, agents, service providers, suppliers and employees, harmless from any claim or demand, including reasonable attorney fees and court costs, made by any third party due to or arising out of Content you submit, post or make available through the Service, your use of the Service, your violation of the Terms, your breach of any of the representations and warranties herein, or your violation of any rights of another

9. Termination of Service: You agree that MePrice, in its sole discretion, has the right (but not the obligation) to delete or deactivate your account, block your email or IP address, or otherwise terminate your access to or use of the Service (or any part thereof), immediately and without notice, and remove and discard any Content within the Service, for any reason, including, without limitation, if MePrice believes that you have acted inconsistently with the letter or spirit of the Terms. Further, you agree that MePrice shall not be liable to you or any third-party for any termination of your access to the Service. Further, you agree not to attempt to use the Service after said termination.

11. Applicable Law: Any dispute arising from these Terms shall be resolved exclusively in the state and federal courts of the State of New York.
